End-User License Agreement ("Agreement")

Please read this End-User License Agreement ("Agreement") carefully before 
downloading or using SPECWeb. By using, downloading, or distributing SPECWeb 
under license you are agreeing to be bound by the terms and conditions of 
this Agreement.

1. APPLICABILITY AND DEFINITIONS

This License applies to any manual or other work, in any medium, that contains
a notice placed by the copyright holder saying it can be distributed under 
the terms of this License. iRaph Studios grants you a revocable, non-exclusive, 
non-transferable, limited license to download, install and use the Software 
for your personal, business, or commercial purposes strictly in accordance with 
the terms of this Agreement. to use that work under the conditions stated 
herein. The "Document", below, refers to any such manual or work. Any member 
using, downloading, or distributing SPECWeb is a licensee, and is addressed as 
"you". You accept the license if you copy, modify or distribute the work in a 
way requiring permission under copyright law.

The "Software" defines as a computer program and any supporting information 
provided in connection with a transaction relating to the program. The term does 
not include a computer program that is included in the definition of goods. 
This additionally directly refers to the Software named SPECWeb under this 
license.

A "limited license to download" defines as documented permission granted by 
iRaph Studios to download the SPECWeb software for personal or commercial useage
under the terms of this agreement.

A "License to Distribute" defines as documented permission granted by iRaph 
Studios for the person within this agreement to properly and legally distribute 
copies of SPECWeb at the discretion and agreemnt of iRaph Studios, documented or
written.

The "Document" refers to this End-User License Agreement.

"You" defines the user of this End-User License Agreement.

The "Author" or "Copyright Holder" defines as the owner of the Software, 
additionally defined as the company and copyright holder iRaph Studios.

2. VERBATIM COPYING

You may NOT copy and distribute the Software in any medium, either commercially 
or noncommercially as your own. Read Section 3, DISTRIBUTION, for more details of 
properly distributing this Software.

3. DISTRIBUTION

You may only distribute this Software provided that you are granted the License to 
Distribute. You are required to show proof of an agreement to distribute between 
you and iRaph Studios, or a legal representative thereof, if you would like to 
distributecopies of this Software. You are not allowed to claim any ownership of 
this Agreement or Software. 

4. RIGHT TO USEAGE

iRaph Studios reserves the right to modify, suspend or discontinue, temporarily or 
permanently, the Software or any service to which it connects or is affiliated at 
any time, with or without notice and without liability to you.

5. MODIFICATION

You may not modify, copy, or remove any components, files, or text from this 
Software. Any and all modifications of the Software may only be approved at the 
discretion of iRaph Studios or its legal representatives.

6. COLLECTIONS OF DOCUMENTS

You may not collect, distribute, or modify any documentation, digitally or 
physically, affiliated or directly related to the Software without the permission 
of iRaph Studios.

7. TERMINATION

You may not copy, modify, sublicense, or distribute the Software except as 
expressly provided under this License. Any attempt otherwise to copy, modify, 
sublicense, or distribute it is void, and will automatically terminate your rights 
under this License.

However, if you cease all violation of this License, then your license at the 
discretion of the Author, may be reinstated (a) provisionally, unless and until the 
Copyright Holder explicitly and finally terminates your license, and (b) permanently, 
if the copyright holder fails to notify you of the violation by some reasonable means 
prior to 30 days after the cessation.

Termination of your rights under this section does not terminate the licenses of 
parties who have received copies or rights from you under this License. If your rights 
have been terminated and not permanently reinstated, receipt of a copy of some or all 
of the same material does not give you any rights to use it.

In some instances, iRaph Studios may, in its sole discretion, at any time and for any 
or no reason, suspend or terminate this Agreement with or without prior notice. Upon 
termination of this Agreement, you shall cease all use of the Software and delete all 
copies related from your properties. Additionally, this Agreement will terminate 
immediately, without prior notice from iRaph Studios, in the event that you fail to 
comply with any provision of this Agreement. 

8. FUTURE REVISIONS OF THIS LICENSE

iRaph Studios reserves the right, at its sole discretion, to modify or replace this 
Agreement at any time. What constitutes a material change will be determined at our 
sole discretion. If any provision of this Agreement is held to be unenforceable or 
invalid, such provision will be changed and interpreted to accomplish the objectives 
of such provision to the greatest extent possible under applicable law and the remaining 
provisions will continue in full force and effect.
